Effective Date: January 1, 2025

This Membership Agreement (“Agreement”) governs participation in Eden Sanctuary, a membership offering of Guardians of Eden, a private membership association, doing business as Eden World (“Association,” “we,” “us,” or “our”).

By submitting your initiation contribution and completing enrollment, you are applying for and accepting private membership within Eden Sanctuary and agreeing to be bound by this Agreement and the Eden World Terms of Service.

This Agreement applies to all Sanctuary membership tiers. Specific access privileges are defined in the applicable Exhibit.

PRIVATE MEMBERSHIP STATUS

Eden Sanctuary operates as a private membership association.

Membership is private, restricted to approved members, and not open to the general public.

Membership is voluntary and granted at the discretion of the Association.

Membership provides access privileges, community participation, and educational gatherings as defined by the Association and the applicable Exhibit. Membership does not create a partnership, joint venture, fiduciary relationship, or professional-client relationship.

The Association retains sole authority over admission, continuation, suspension, termination, and standards enforcement within the membership.

MEMBERSHIP TERM

Your Membership Term is determined by the option selected at checkout and reflected on your invoice.

Membership options may include:

• Lifetime Access Membership
• Annual Membership Term of twelve (12) months

If you selected an Annual Membership Term, access expires at the end of the twelve-month period unless renewed.

If you selected Lifetime Access, access continues for the duration of the Sanctuary membership offering as operated by the Association. The Association reserves the right to modify, evolve, rebrand, restructure, or discontinue the Sanctuary offering at its discretion.

Payment obligations are separate from access term. If a payment plan is selected, access may be suspended for non-payment until the account is brought current.

MEMBERSHIP CONTRIBUTION

Your membership contribution is as stated at checkout or on your invoice.

Membership contributions are not tax-deductible because defined access privileges and services are provided in exchange.

Payment plans are binding financial commitments. Failure to participate does not relieve you of your payment obligations.

NO REFUNDS

Membership contributions are non-refundable once any stated trial period has expired.

Failure to participate, dissatisfaction, relationship changes, or personal circumstances do not alter payment obligations.

VOLUNTARY OFFERINGS

Members may choose to make voluntary offerings separate from membership contributions.

Voluntary offerings are not required and no additional goods or services are provided in exchange.

Voluntary offerings support administrative, technological, and community infrastructure of the Sanctuary.

EDUCATIONAL PURPOSE AND DISCLAIMER

Sanctuary activities are educational and community-based in nature.

Participation does not constitute therapy, medical advice, legal advice, financial advice, psychological counseling, or licensed professional services.

The Association makes no representations or guarantees regarding specific relationship, personal, financial, or business outcomes.

Members are solely responsible for their own decisions, actions, and outcomes.

All services are provided “as is” without warranties of any kind.

CONFIDENTIALITY

Members agree to maintain the confidentiality of other members’ identities, communications, shared experiences, and private discussions.

Unauthorized recording, copying, distribution, or disclosure of member information or Sanctuary materials is strictly prohibited and may result in removal and legal remedies.

The Association maintains member information in accordance with applicable law and its Privacy Policy.

MEDIA RELEASE

By participating in Sanctuary calls, recordings, or events, you grant the Association a perpetual, worldwide, royalty-free license to use your name, likeness, voice, and participation in recordings for educational and promotional purposes.

You may submit a written request regarding future use of specific images. The Association will make reasonable efforts to accommodate prospective requests but cannot guarantee removal of previously published materials.

NON-SOLICITATION

Members may not use Sanctuary membership to solicit, recruit, or promote competing services, programs, or communities to other members without prior written permission from the Association.

Violation may result in suspension or termination of membership.

NON-TRANSFERABILITY

Membership access is personal and non-transferable.

Sharing login credentials or granting access to non-members is prohibited and may result in termination.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, the total liability of the Association arising out of or relating to membership shall not exceed the total amount paid by the Member to the Association in the twelve (12) months preceding the claim.

The Association shall not be liable for indirect, incidental, consequential, or special damages.

INDEMNIFICATION

Member agrees to indemnify and hold harmless the Association and its officers, members, contractors, and affiliates from claims arising out of Member’s conduct, misuse of materials, or violation of this Agreement.

DISPUTE RESOLUTION

Informal Resolution
The Parties agree to attempt good faith resolution prior to formal proceedings.

Mandatory Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in the State of Florida before a single arbitrator.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Class Action Waiver
All disputes must be resolved individually. No class or collective actions are permitted.

Injunctive Relief
Either Party may seek injunctive relief in Florida courts for intellectual property violations, confidentiality breaches, or unauthorized access.

GOVERNING LAW

This Agreement shall be governed by the laws of the State of Florida.

MODIFICATION OF TERMS

The Association reserves the right to modify these terms prospectively. Continued participation after updates constitutes acceptance.

SEVERABILITY

If any provision is held unenforceable, the remainder remains in full force and effect.

ACCEPTANCE

By completing enrollment and submitting payment, you acknowledge that you have read, understood, and agreed to this Agreement.

All resources are provided for personal use within the private membership association.

Sanctuary Essentials Members receive access to:

• Monthly Salons and Connection Experiences, live attendance only, no replays
• Private Members Community

• Special Guest Masterclasses
• Core Courses including the 12 Principles Mini-Course and Principle Wisdom Jams

All resources are provided for personal use within the private membership association.
